Stoutridge International Ltd is a private limited liability company incorporated in Cyprus. The Company is engaged in maritime consulting and brokerage services, providing advisory and intermediary services to corporate clients operating within the maritime and shipping sector.

The Company’s activities are conducted on a business-to-business basis and do not involve the handling of client funds, custody of assets, or operation of client bank accounts.

Maritime Consulting Activities

The Company provides non-discretionary consulting and advisory services, including but not limited to:

• Commercial advisory services related to shipping markets, chartering structures, and freight market conditions;

• Advisory support on vessel operations, fleet management efficiency, and cost optimization;

• Strategic advisory services related to fleet development, asset management, and maritime investment analysis;

• High-level advisory on regulatory and compliance matters in the maritime sector, including international maritime conventions and flag state requirements, without providing legal or technical certification services;

• Project-based consulting services tailored to specific maritime transactions or operational projects.

The Company does not provide legal, accounting, or technical certification services and, where required, coordinates with licensed external advisors.

Maritime Brokerage Activities

The Company acts as an intermediary in maritime transactions, including:

• Sale and purchase (S&P) brokerage services related to vessels and maritime assets;

• Chartering brokerage services, including time charter and voyage charter arrangements;

• Market intelligence and valuation support based on publicly available and industry-standard market data;

• Transaction coordination services, including communication with counterparties and coordination with legal, technical, and financial advisors.

The Company acts solely as a broker or advisor and does not take title to vessels or assets, nor does it act as principal in transactions unless expressly agreed in writing.

Clients of the Company are primarily corporate entities, including shipowners, operators, charterers, and maritime investors. Services are provided internationally, with counterparties located within the European Union and other maritime jurisdictions.

              Risk Profile and Controls

The Company does not engage in high-risk activities such as:

• Handling of third-party funds;

• Cash-intensive operations;

• Crypto-related activities;

• Sanctioned or restricted jurisdictions, unless expressly permitted by applicable laws and regulations.

All engagements are subject to internal due diligence procedures and compliance with applicable anti-money laundering (AML) and counter-terrorist financing (CTF) regulations.

Revenue Model

The Company’s income is derived from:

• Consulting fees; and/or

• Brokerage commissions, as contractually agreed with clients.

Payments are received via bank transfers to the Company’s corporate bank accounts.
